Terms of Service

1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of Agentdoze (the “Service”), operated by the agentdoze team (“we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use Agentdoze on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. The Service
Agentdoze lets you deploy AI agents that scale to zero between turns and wake on a message or schedule, keep a persistent workspace, connect to chat channels and an API, and use AI models and tools you configure. The Service is under active development; features may change, and we may add, modify, or remove functionality over time.
3. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract under the laws of Singapore. If you are between 13 and 18, you may use the Service only with the involvement of a parent or legal guardian who agrees to be bound by these Terms on your behalf; the Service is not intended for children under 13.
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
Each account has a non-transferable personal organization and may create or join team organizations. Team owners control membership, ownership transfer, deletion, and the organization balance; administrators can manage members, billing, approved model credentials, and Connectors. Members must use only the roles and organization resources they are authorized to access.
4. Credits, billing & subscriptions
- Prepaid credits. Usage is metered in credits, priced at US$1 = 1,000 credits. You are charged for active compute (the seconds your agents are awake) and for built-in AI model tokens. Bring-your-own-key model usage is billed by your own provider, not by us.
- Balance & suspension. Agents run only while you have sufficient credits. If your balance runs out, agents may be suspended before consuming further compute, and scheduled runs may be skipped.
- Organization billing. Every Agent is permanently assigned to one organization and its metered usage is charged to that organization's balance, regardless of which member starts the turn. Team organizations receive no personal signup-credit grant. Organization managers may set monthly member or Agent limits that stop new paid work after the limit is reached.
- Payments. Payments and any subscription are processed by our payments provider, Creem, acting as merchant of record. Your purchase is also subject to their terms. Applicable taxes may be added.
- Refunds. Except where required by law, credits and subscription fees are non-refundable, and credits have no cash value. We may offer discretionary credit adjustments for verified service faults.
- Price changes. We may change pricing or credit rates prospectively; changes do not affect credits you have already purchased.
5. Acceptable use
You agree not to use Agentdoze, or allow an agent you run to be used, to:
- Break the law, or produce, store, or distribute illegal content (including child sexual abuse material, or content that infringes intellectual property or privacy rights);
- Generate malware, launch attacks, send spam, mine cryptocurrency, or otherwise abuse compute, networks, or third-party services;
- Harass, threaten, defraud, impersonate, or harm others, or generate content intended to deceive or manipulate people at scale;
- Violate the terms of any connected platform (e.g. Slack, Telegram, WhatsApp/Meta) or messaging or anti-spam laws when your agent contacts people;
- Attempt to breach, probe, overload, or circumvent the security, rate limits, isolation, or metering of the Service; or
- Resell or provide the Service to third parties in a way that circumvents our billing, or reverse engineer the platform except where such restriction is prohibited by law.
We may investigate suspected violations and take action, including removing content, suspending agents, or terminating accounts.
6. Your content & your agents
You retain ownership of the prompts, files, configuration, and other content you provide (“Your Content”). You grant us a limited licence to host, store, process, and transmit Your Content solely to operate the Service for you — including sending it to the AI models, tools, and channels you configure.
An Agent marked shared can be used by current members of its organization. Each member's console transcript is access-controlled separately, but the Agent's workspace, skills, and long-term memory are shared across its conversations and may affect other members' later turns. Private Agents are available only to their creator, while organization managers may see limited status and spend metadata for governance without opening their content.
Organization Connectors and approved model credentials are organization resources. Their secret values are not displayed to members or injected into Agent environments; managers approve which Agents may invoke them. By adding a credential, you confirm that the organization is authorized to use it and that its upstream permissions and charges are appropriate for the organization's members.
You are solely responsible for Your Content, for the way you configure and instruct your agents, and for everything your agents do — including autonomous actions taken on a schedule or in response to incoming messages. You represent that you have the rights and any necessary consents for the content and data you route through Agentdoze.
7. Third-party services & your keys
Agentdoze integrates with third-party providers you choose — AI model providers, search tools, email senders, OAuth sign-in, and messaging platforms. Your use of those services is governed by their terms, and you are responsible for your own API keys and for complying with each provider’s usage policies and costs. We are not responsible for third-party services, and their availability or changes may affect how your agents work.
8. Intellectual property
The Service — including the Agentdoze software, website, branding, and design — is owned by us and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with them. All rights not expressly granted are reserved. We welcome feedback and may use it without obligation to you.
9. AI outputs & no reliance
AI models can produce inaccurate, incomplete, or offensive output, and different users may receive similar output. Output is generated automatically and is not reviewed by us. It does not constitute professional advice (legal, financial, medical, or otherwise). You are responsible for evaluating and independently verifying any output before relying on it or acting on it, and for any decisions or actions your agents take.
10. Availability & changes
We work to keep Agentdoze reliable, but the Service is provided on an “as available” basis without a guaranteed uptime or service-level commitment. It may be affected by maintenance, provider outages, or factors outside our control, and we may modify, suspend, or discontinue features (or the Service) at any time. Where reasonable, we will give notice of significant changes.
11. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, run out of credits, create risk or legal exposure, or if we discontinue the Service. On termination, your right to use the Service ends and we may delete your data as described in the Privacy Policy. Sections that by their nature should survive (including §§6–14) will survive termination.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, uptime, or the results of using any AI model or tool. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
13. Limitation of liability
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any non-excludable rights you have as a consumer (for example under Singapore’s Consumer Protection (Fair Trading) Act).
Subject to the paragraph above, and to the maximum extent permitted by law: (a) the agentdoze team will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service or any AI output, even if advised of the possibility; and (b) our total aggregate liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or US$50.
14. Indemnification
You agree to indemnify and hold harmless the agentdoze team from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your agents’ actions, your use of the Service, or your breach of these Terms or of any third-party rights or laws.
15. Governing law & disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. You agree that the courts of Singapore have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service — except where mandatory consumer-protection laws of your country of residence give you additional rights, or the right to bring proceedings locally, that cannot be waived. Before starting formal proceedings, we will each try in good faith to resolve the dispute informally — please contact contact@agentdoze.com first.
16. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior discussions or representations.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full force.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not assign or transfer these Terms without our consent. We may assign or transfer them — for example, if the Service is moved to, or acquired by, a company or other entity — on notice to you, provided your rights are not materially reduced.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including internet, hosting, AI-model, or other third-party provider outages.
- Notices & electronic communications. We may give notices by email or through the console, and you consent to receiving communications from us electronically.
- No third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of them.
17. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you in the console or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
